Adjunct Professor Olga Loy received her law degree, magna cum laude, from the University of Illinois in 1998. She is a partner at Winston & Strawn LLP, where represents funds and fund sponsors in structuring, negotiating, and forming private equity and venture capital funds. She plans and structures other complex business transactions, including corporate mergers and acquisitions, leveraged buyouts, recapitalizations, and venture capital investments. Furthermore, she counsels investment advisers, hedge funds, registered investment companies, and broker-dealers across a wide range of investment management, securities, and general corporate matters. She regularly represents large and mid-size private equity funds and their management companies. These clients invest in North America, Eastern Europe, and Latin America. She also advises real estate funds and investors in tax structuring matters, including REIT counsel and planning and cross-border analysis.

Professor Loy has a very diverse background and experience–she came from Russia in 1992 not speaking any English, spent a year in the Middle East (Jordan) where she taught an exercise and fitness program to Jordanian women at Yarmouk University. After graduating from the University of Illinois College of Law she spent most of her career at Kirkland & Ellis, LLP in Chicago, where she became a partner in the tax group. Professor Loy is an author of numerous articles on the matters of taxation and fund formations, frequent speaker at industry conferences, and is a contributor to the books Structuring Venture Capital, Private Equity, and Entrepreneurial Transactions by Jack S. Levin and Mergers, Acquisitions and Buyouts by Martin D. Ginsburg and Jack S. Levin.

Professor Loy teaches a unique class on private investment funds, introducing students to business law and tax issues relating to private investment funds, with a particular focus on private equity, venture capital, and hedge funds. Students are introduced to the structures of various investment funds and business law issues important to fund sponsors in choosing entity types. The course uses real-life examples of present day funds and allow students to become familiar with economic, legal, and tax considerations that are involved in representing fund sponsors and investors.
