Law 794: Private Equity Funds and Transactions: Issues and Documentation
This seminar class will focus on legal issues and key documentation involved in structuring private equity funds and private equity transactions. The class will use a practical approach in introducing (i) fund formation process and (ii) typical private equity transaction and documentation required for each. Students will first have a hands-on experience in participating in a fund formation exercise and preparing a term sheet for their own fund. Subsequently, the seminar will follow private equity transaction through its various stages and provide students in-depth and practical experience with common deal issues and drafting contractual provisions to address such issues. The goal of the class is to prepare students for the practical aspects of being a fund formation lawyer and a deal lawyer. The seminar will use real life acquisition agreements, fund offering documentation, fun interactive legal projects and will have guest speakers from private equity funds. Coffee and cookies will be provided for each class!
Sequence and Prerequisites: Some background in business, finance, economics, tax, accounting, and/or securities regulation is desired, but not required.
Evaluation: Grades will be based on class participation and two written assignments.
